1. Service Overview
CerebrateX (the “Platform”) provides AI-driven management consulting, strategic analysis, and decision-support services for business leaders and owners. All outputs are provided for informational and advisory purposes only to help you form your own judgment and action plans, and do not constitute legal, financial, investment, medical, or any other regulated professional advice, opinion, warranty, or commitment. You remain solely responsible for any decisions and outcomes based on the Platform’s outputs.
2. Account Registration and Use
2.1 You must provide true, accurate, and complete registration information and promptly update it when changes occur.
2.2 Your account is for your personal use and/or internal use by the organization you represent. You may not transfer, rent, sell, or share your account, credentials, or access in any manner, nor bypass any Platform limitations.
2.3 You are responsible for maintaining the security of your account. All actions taken through your account will be deemed to have been performed by you.
2.4 If you violate these Terms, engage in abnormal usage, suspected abuse, or behavior that impacts the Platform’s security or stability, we may take measures including (without limitation) notices, rate limiting, suspension, termination, or freezing of your account.
2.5 Termination and subscription cancellation: You may cancel auto-renewal at any time in your Paddle account or by contacting support@cerebratex.com. You must cancel at least 48 hours before the end of the current billing period to avoid renewal charges. After cancellation, you may continue to use the service until the end of the current billing cycle. No prorated refunds are provided for the remaining period (unless required by mandatory applicable law).
3. Service Content, Plans, and Fair Use
3.1 Membership plans and core quotas (as displayed on the Platform) include:
Free: 5 conversation rounds per day; 2MB monthly attachment quota (example)
Functional Plan ($29/month): Unlimited conversations within fair use; 20,000 points/month
Strategic Plan ($139/month): Unlimited conversations within fair use; 200,000 points/month; priority technical support (if applicable)
3.2 Fair use and abuse prevention: “Unlimited conversations within fair use” means usage that does not undermine Platform stability, does not excessively consume system resources, and is not used for automated bulk calls, scraping, resale, attacks, or circumvention of limits. We may rate-limit, degrade, or suspend service in response to unusually high-frequency requests, suspected bot behavior, bulk generation/scraping, or quota circumvention.
3.3 Attachments and content restrictions: You may not upload or submit illegal content, infringing content, malicious code, or content used for attacks. We may perform security checks and take risk mitigation actions (including rejecting processing, deleting content, or restricting access).
3.4 Age requirement: The Platform is not available to users under 18 years old. You confirm that you meet the legal age requirements to use this service in your jurisdiction.
4. Billing Basis, Points, and Usage Metering
4.1 Billing units and charging principles: Certain features may be measured in “points” or other usage metrics. Conversion and charging rules for points, tokens, context length, attachment size, conversation rounds, and similar metrics are governed by the Platform’s displayed rules or in-product explanations. We will strive to provide transparent usage records and charging results.
4.2 Metering basis: Due to differences in AI generation processes and third-party model metering standards, actual usage may differ from your expectations. For purposes of charging, quotas, and rate limiting, the Platform’s recorded usage data will prevail.
4.3 Overages and restrictions: When you reach or exceed plan quotas/thresholds, we may provide notices, block further use, degrade functionality, or require a plan upgrade to protect Platform costs and service quality.
5. Fees and Payments
5.1 Paid plans are billed monthly in US dollars (USD) and automatically renew by default until you cancel. You must cancel your subscription at least 48 hours before the end of the current billing period to avoid being charged for the next renewal. Cancellations can be made through your Paddle account or by contacting support@cerebratex.com.
5.2 All fees are priced in U.S. dollars (USD). Payment methods and settlement depend on what Paddle (our payment processor) supports.
5.3 After successful payment, you may not transfer, split, or resell subscription benefits.
6. Refund Policy
6.1 For consumers, you have the statutory right to cancel your subscription within 14 days of the transaction date without giving any reason ("cooling-off period"). This right does not apply if you have started to use the Platform's paid services (including exceeding free plan limits) during the cooling-off period, as this constitutes the supply of digital content with immediate performance.
6.2 After the 14-day cooling-off period, no refunds will be provided for unused subscription periods, regardless of the reason (unless required by mandatory applicable local law).
6.3 If the Platform is completely unavailable due to technical failure and cannot be restored within a reasonable period (72 hours), we will, at our discretion, either extend your subscription term for the duration of the outage or provide a pro-rated refund for the affected period.
6.4 All refund requests must be submitted to support@cerebratex.com with your Paddle order number, purchase proof and registered account information. Refund processing times follow Paddle's rules, and refunds will be issued to the original payment method with no additional fees.
7. Privacy and Data Processing (Including Third-Party Processing and Training)
7.1 Data collection: To provide the service, we may collect necessary account information, device and log information, usage data, and the content of files and conversations you upload or submit (collectively, “User Content”).
7.2 Third-party processing: To deliver AI capabilities and multimodal processing, we may process User Content through third-party service providers (e.g., model inference, speech recognition, OCR, vector retrieval). Third parties will process data only to the extent necessary to provide the service.
7.3 Training and improvement: Unless we explicitly inform you in our privacy policy or product pages and obtain required authorization, we do not use User Content that can identify you for public model training. For service improvement and quality evaluation, we may use certain data in a de-identified and aggregated manner for analytics and system optimization.
7.4 Security and retention: We implement reasonable industry-standard security measures to protect data. User data is retained while your account is active. After account deletion, we will process or anonymize data within a reasonable period unless mandatory legal retention applies.
7.5 Cookies and local storage: We may use necessary functional cookies/local storage to maintain login status and language preferences. The use of analytics cookies will follow applicable legal consent requirements.
8. Permitted Use of Outputs
8.1 You retain ownership of your input content (including uploaded files).
8.2 You may use the Platform’s outputs (AI-generated content) for your business, learning, internal management, and decision-support purposes.
8.3 You may not resell, redistribute in bulk, provide outputs to third parties as a competing capability, or use the Platform for large-scale automated content production and redistribution, unless you have our prior written permission.
8.4 You acknowledge that the Platform's services are digital content with immediate performance. Once you start to use the paid services (including exceeding free plan limits), you consent to the immediate performance of the service agreement and waive your statutory right of withdrawal (where applicable).
9. Intellectual Property
9.1 The Platform’s product, code, UI design, trademarks, and related content are owned by CerebrateX and/or its licensors.
9.2 You grant the Platform a license to use, store, and process your User Content solely as necessary to provide the service.
9.3 You may not reverse engineer, crack, circumvent security mechanisms, or otherwise infringe the Platform’s rights.
10. Limitation of Liability
10.1 The Platform is provided “as is” without warranties of uninterrupted service, error-free operation, or complete accuracy of outputs.
10.2 Any commercial losses, indirect damages, or third-party claims arising from your use of the Platform’s outputs are your responsibility.
10.3 To the maximum extent permitted by applicable law, in no event will CerebrateX or its payment processor (Paddle) be liable for any special, incidental, indirect, punitive or consequential damages arising from your use of the Platform. The total aggregate liability of CerebrateX to you shall not exceed the total fees you actually paid to CerebrateX via Paddle in the past twelve (12) months (if any).
11. International Use and Compliance
11.1 The Platform is available globally. You are responsible for ensuring your use complies with the laws, regulations, and industry requirements in your jurisdiction.
11.2 If you are unable to use the Platform due to legal restrictions in your region, you may stop using the service and request handling under the refund rules in these Terms (if applicable).
12. Changes to These Terms
12.1 We may update these Terms within a reasonable scope. Material changes will be notified at least 30 days in advance via site announcements, post-login pop-ups, emails to your registered address (if available), or other reasonable methods. Material changes include (without limitation): plan price increases exceeding 20%, substantial changes to core functionality or quota/limit rules, significant changes to data processing policies, or changes to dispute resolution mechanisms.
12.2 Continued use of the service after an update takes effect constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the service and request handling under these Terms and applicable law (if applicable).
13. Governing Law and Dispute Resolution
13.1 These Terms are governed by the laws of Singapore.
13.2 Disputes should first be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration under its arbitration rules. The arbitral award is final and binding on both parties.
